MERGERS & ACQUISITIONS

Silicon Valley Law Group has been involved in hundreds of middle-market mergers and acquisitions, including both domestic and cross-border transactions.  We represent foreign and domestic buyers, sellers, private equity groups and other investors in these transactions - which range in value from $2 million to $200 million.  Our unique "Deal Philosophy" and process allow us to complete these transactions in the shortest possible time.  Our merger-and-acquisition clients span a wide variety of industries - including software, semiconductor, capital equipment, communications, networking, natural resources, agriculture, manufacturing, distribution and services.

PUBLIC & PRIVATE SECURITIES COMPLIANCE/CORPORATE GOVERNANCE

At Silicon Valley Law Group, we spend a substantial amount of time and effort assisting our clients with venture capital, private placements, PIPE transactions, reverse mergers and IPO's.  This practice requires knowledge of complex federal and state securities laws, the capital markets, underwriters, brokers and placement agents.  We have worked extensively with boards of directors, helping them navigate complex legal requirements - including those imposed by the Sarbanes-Oxley Act and other federal securities laws.

VENTURE CAPITAL & PRIVATE EQUITY

At Silicon Valley Law Group, our attorneys are strongly connected to the venture capital and private equity industries and often provide clients with an introduction to these investors.  We structure and negotiate venture capital and private equity investments for both investors and funds.

COMMERCIAL TRANSACTIONS

At Silicon Valley Law Group, we represent our clients in a wide variety of contract matters - including negotiating, structuring and documenting agreements with distributors, sales representatives, OEM's, VARS and other resellers both domestically and internationally.  We represent our clients in their negotiations with banks and financial institutions, equipment lessors and other lenders.  These transactions involve promissory notes, security agreements, guarantees, inter-creditor agreements and subordination agreements.  We also assist in establishing agreements with the client's executives, employees, directors and advisory board members.

FRANCHISOR & FRANCHISEE REPRESENTATION

At Silicon Valley Law Group, we help clients create business growth by developing franchising strategies and clearing the regulatory path to implement these strategies through disclosure and registration.  In addition, we evaluate franchises for prospective franchisees in light of their unique business and financial goals.

NON-PROFIT ORGANIZATIONS

Silicon Valley Law Group represents a number of non-profit institutions - including schools, counseling agencies and community centers.  We help our clients apply for, obtain and maintain tax-exempt status under the Internal Revenue Code, and counsel management regarding non-profit corporate governance issues.
